These Terms of Service ("Terms") govern your access to and use of the VCMatch.ai website, applications, and services (collectively, the "Services") provided by Innoventions LLC ("VCMatch," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Eligibility

You must be at least 18 years old to use the Services. The Services are available to individuals and business entities in the United States and internationally, subject to compliance with applicable local laws and United States law. You are responsible for ensuring your use of the Services complies with all laws applicable to you.

3. Description of Services

VCMatch provides an AI-powered platform that:

  • Analyzes startup pitch materials to create company profiles
  • Maintains a directory of venture capital firms compiled from publicly available sources
  • Generates algorithmic matches between startups and potential investors
  • Provides research and informational resources about the fundraising process

4. Important Disclaimers: What VCMatch Is NOT

READ THIS SECTION CAREFULLY. IT LIMITS OUR LIABILITY AND AFFECTS YOUR LEGAL RIGHTS.

4.1 No Investment Advice

The Services do not constitute investment advice, financial advice, legal advice, or any other form of professional advice. Nothing in the Services should be construed as a recommendation to pursue or not pursue any particular investment, transaction, or course of action.

4.2 No Broker-Dealer or Placement Agent Services

VCMatch is not a registered broker-dealer, investment adviser, or placement agent. We do not solicit, negotiate, or effect securities transactions. We do not receive compensation based on successful fundraising outcomes. We are a technology platform providing informational and research tools only.

4.3 No Guarantee of Introductions or Meetings

The Services do not guarantee introductions to investors, meetings with venture capital firms, or any communication with potential investors. Match results are algorithmic suggestions based on publicly available information and user-provided data.

4.4 No Guarantee of Funding

WE MAKE NO REPRESENTATIONS ABOUT YOUR ABILITY TO RAISE CAPITAL. THERE IS NO GUARANTEE OF FUNDING. Fundraising outcomes depend on numerous factors outside our control, including market conditions, investor preferences, your company's performance, and many other variables. Use of the Services does not increase, guarantee, or otherwise affect your likelihood of successfully raising capital.

4.5 AI-Generated Content Disclaimer

The Services use artificial intelligence to analyze documents, generate profiles, calculate match scores, and produce recommendations. AI-generated content may contain errors, inaccuracies, or outdated information. You acknowledge that:

  • AI analysis is not a substitute for professional due diligence
  • Match scores and recommendations are algorithmic estimates, not guarantees of compatibility
  • You should independently verify all information before acting on it
  • You use AI-generated content at your own risk

4.6 VC Data Accuracy

Information about venture capital firms is compiled from publicly available sources and may be incomplete, outdated, or inaccurate. Investment theses, check sizes, portfolio companies, and other VC data change frequently. Do not rely solely on VCMatch data when making decisions about which investors to approach. We recommend verifying all information directly with the relevant firms.

5. User Accounts and Conduct

5.1 Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

5.2 User Content

You may upload pitch decks, financial information, and other materials ("User Content") to the Services. We make no claims regarding the accuracy of User Content, and we are not liable for any consequences arising from inaccurate, incomplete, or misleading User Content you provide.

5.3 Prohibited Uses

You agree not to:

  • Scrape, crawl, or extract VC data or other content from the Services through automated means
  • Resell, redistribute, or commercially exploit match reports, VC profiles, or other Service outputs
  • Use the Services to spam, harass, or send unsolicited communications to venture capital firms or their personnel
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any part of the Services
  • Use the Services for any illegal purpose
  • Impersonate any person or entity
  • Upload malicious code, viruses, or harmful content

6. Pricing and Payment

6.1 Subscription Terms

Paid access to the Services is available for $399 for a 4-month subscription period. Pricing is subject to change with notice to existing subscribers.

6.2 Refund Policy

You may request a full refund within 7 days of your initial purchase. After the 7-day period, all payments are non-refundable. To request a refund, contact us at [email protected].

6.3 Payment Processing

Payments are processed by third-party payment processors. By making a purchase, you agree to the terms and privacy policies of our payment processors. We do not store complete credit card information.

7. Intellectual Property

7.1 Your Content

You retain ownership of all User Content you upload to the Services. By uploading User Content, you grant VCMatch a non-exclusive, worldwide, royalty-free license to use, process, analyze, store, and display your User Content solely to provide and improve the Services.

7.2 Anonymized Data

You grant VCMatch the right to use anonymized and aggregated information derived from your User Content for marketing materials, research, industry reports, and Service improvements. Anonymized data will not identify you or your company.

7.3 No Third-Party Sharing

We will not share your User Content or identifiable information with any third party (including venture capital firms) unless you explicitly grant permission or direct us to do so.

7.4 VCMatch Content

VCMatch owns all rights to the Services, including match reports, analysis, VC profiles, algorithms, and all other content and materials we create (collectively, "VCMatch Content"). You may view, download, and share your personal match reports for your own fundraising purposes, but you may not resell or commercially redistribute VCMatch Content.

7.5 Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant us the right to use such feedback without restriction or compensation.

8. Termination

8.1 Termination by You

You may terminate your account at any time by contacting us at [email protected] or through your account settings.

8.2 Termination by Us

We may suspend or terminate your access to the Services at any time, for any reason, with 24 hours notice. We may terminate immediately without notice for violations of these Terms or illegal activity.

8.3 Effect of Termination

Upon termination:

  • Your right to access the Services ends immediately
  • You may request export of your User Content before or within 30 days after termination
  • We will retain your data for 30 days after account closure, after which it will be deleted
  • You may request immediate deletion of your data at any time

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • Results obtained from the Services will be accurate or reliable
  • Any errors in the Services will be corrected
  • The Services will meet your requirements or expectations

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VCMATCH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Failure to raise capital or secure funding
  • Damages arising from reliance on match recommendations or VC data
  • Loss of data or business interruption
  • Any other damages arising from your use of the Services

This limitation applies regardless of the theory of liability and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless VCMatch and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Services
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your interactions with venture capital firms or other third parties

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

12.2 Binding Arbitration

Any dispute arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Los Angeles County, California. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against VCMatch.

13. General Provisions

13.1 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

13.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VCMatch regarding the Services.

13.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

13.4 No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

13.5 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights and obligations without restriction.
